A Law Student's Guide to the Venture Term Sheet

This workshop offers an introduction to venture capital term sheets — what they are, how they're used, and how the pieces fit together in a financing. We'll cover the key economic terms (e.g., pre- and post-money valuation, option pools) and key control terms (e.g., board composition, protective provisions, and founder vesting), along with examples from the presenters' experience financing companies. There will be ample time for Q&A.

Lydia Cheuk (NYU Law '97) is General Counsel of 25 Madison Studio, the New York-based venture studio and investment firm. She previously served as General Counsel at Away, SVP of Business and Legal Affairs at First Look Media, and General Counsel of Blue Man Group, and began her career as a corporate associate at Goodwin. She has served on the advisory board of the EVC Program since 2021.

Jono Rosen (NYU Law '97) is Managing Partner at Moss Valley Capital, a private investment fund. He was previously a partner at Applied Invention, a multi-disciplinary innovation company that designs and builds technology solutions in partnership with leading corporations as well as incubates companies, including The Dark Sky Company. He is a board member of Apeiron Labs and serves as an advisor to various start-ups, venture capital and private equity firms. He began his career as an associate at Simpson Thacher & Bartlett and is launching a new company this year. He serves on the advisory board of the EVC Program.
