Please join us on Thursday, February 26, 5:00 p.m. to 6:30 p.m. for “Iconic Delaware Cases: Corwin.” Emiliano Catan (Co-Director, Institute for Corporate Governance & Finance) will moderate a panel that will focus on the Corwin litigation and tackling questions such as the following: What makes Corwin an iconic decision? What were the key doctrinal innovations in Corwin? What was the impact of Corwin on M&A? How did later decisions reshape the Corwin framework? And what---if anything---is left of Corwin after the amendment of DGCL §144? The panel will include Hon. Andre Bouchard (Paul Weiss; Former Chancellor, Delaware Court of Chancery), who rendered the Chancery Court decision; Mark Lebovitch (Bernstein Litowitz Berger & Grossman LLP), who represented the plaintiffs; William Savitt (Wachtell Lipton Rosen & Katz), who represented the defendant board members and KKR Financial Holdings LLC; and Eileen Nugent (Skadden, Arps, Slate, Meagher & Flom, LLP), a seasoned M&A lawyer.
