Distinguished Jurist Lecture, “Judging Independence: Conflict, Conduct, and the Problem of Hindsight,” presented by the Hon. Lori Will, Vice Chancellor, Delaware Court of Chancery. The Vice Chancellor will explore the distinction between a director’s independence and the director’s conduct during a challenged transaction, and the risks of using hindsight about process to infer a disabling conflict. She’ll also consider why that distinction matters even more under the new Section 144 framework.
This event has been approved to offer 1 New York State CLE credit in the category of Areas of Professional Practice.
